Available Positions
1. SFN Community Representative (1 Seat open)
- Must be a registered member of Saulteau First Nations.
- Brings leadership, business insight, or governance experience.
- Represents the long-term interests of the Nation while supporting strong business oversight and best governance practices.
2. Independent Professional Director (1 Seat open)
- Must be independent of MDC management and free from any relationship with MDC businesses that could interfere with independent judgment.
- Must have significant business education and experience.
- Experience in natural resources, civil construction, reclamation, or energy services is preferred.
Term & Commitment
- Term: Two (2) years.
- Performance reviewed annually prior to the Annual General Meeting
- Attendance at monthly board meetings, held both in-person and virtually
- Hybrid attendance is usually available except for mandatory in-person meetings as noted in next point
- Travel is required to Moberly Lake, BC three or four times per year for in-person board meetings, meeting with entity management and staff, SFN community engagement and events.
- Participation in committees (Finance & Audit, Communications, etc.) as required.
- Directors receive honoraria for meetings and committee work, plus reimbursement for reasonable expenses.

Role of the Board
- Set strategic direction (vision, mission, and long-term goals).
- Oversee recruitment and performance of the staff – CFO and HR.
- Ensure regulatory compliance and financial accountability.
- Protect the Nation’s assets, reputation, and investments.
- Act in the best interests of Mistahiya Development Corporation and Saulteau First Nations.
- Board members must uphold strict confidentiality and adhere to Conflict of Interest policies at all times.
Preferred Skills & Experience
- Governance and prior board experience.
- Policy development.
- Financial literacy (accounting, audit, financial oversight).
- Business management (HR, safety, contract negotiation, business development).
- Industry knowledge relevant to MDC operations.

- Resume or CV outlining professional background and experience.
- Statement of Interest describing the skills and knowledge you bring to the Board.
- Conflict of Interest Declaration outlining any potential real, perceived, or potential conflicts.
- Integrity Statement disclosing any convictions involving dishonesty, fraud, or breach of trust.
- Must be eligible to act as a corporate director as per the Business Corporations Act (BC), and must consent to acting as a director if appointed
